Vectivate — Terms & Conditions

These Terms & Conditions (the “Terms”) govern your access to and use of Vectivate, including the website, dashboards, data visualizations, downloads, and related services (collectively, the “Service”). By using the Service, you agree to these Terms.
1. Purpose & Scope
Vectivate is a web-based financial analytics tool intended for informational and educational purposes. Vectivate is not a broker-dealer, investment adviser, fiduciary, or tax advisor, and nothing on the Service constitutes investment, legal, tax, or accounting advice, or a solicitation to buy or sell any security. You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for complying with all applicable laws and regulations in your jurisdiction.
2. No Investment Advice; Educational Use Only
All content and features—including stock dashboards, ratio analysis, WACC calculator, Monte Carlo simulator, comparable companies, executive compensation, financial statements, currency tools and heat maps, government trading data, portfolio tracking, and news feeds—are provided solely for informational and educational purposes and do not constitute investment advice, an offer, or recommendation. Decisions based on information from the Service are made at your sole risk. You should consult a qualified financial professional before making investment decisions.
3. Market Risk & Limitation of Liability
Markets are volatile and unpredictable. You understand and agree that Vectivate will not be liable for any loss of money, profits, revenue, goodwill, data, or any other damages (including direct, indirect, incidental, consequential, special, exemplary, or punitive damages) arising out of or related to your use of, or reliance on, the Service or any content. To the maximum extent permitted by law, the aggregate liability of Vectivate and its affiliates for any claim arising out of or relating to the Service shall not exceed the greater of: (a) the amounts you paid to Vectivate for access to the Service in the twelve (12) months prior to the event giving rise to liability, or (b) fifty U.S. dollars (US$50).
4. Data Sources; Delays; Accuracy; No Warranties
The Service integrates data from third-party sources such as FinancialModelingPrep (FMP) and the Federal Reserve Economic Data (FRED). Data may be delayed, incomplete, inaccurate, interrupted, or become unavailable without notice. Executive compensation, analyst ratings, comparable companies, and government-trade data may contain errors, misclassifications, or subsequent revisions from official sources (e.g., SEC, congressional disclosures). News headlines and articles are provided by third parties; Vectivate does not endorse or guarantee their accuracy. Currency data and FX visualizations are informational only and not execution-grade. THE SERVICE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF ACCURACY, COMPLETENESS, TIMELINESS, RELIABILITY, AVAILABILITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.
5. Tool-Specific Disclaimers
(a) WACC Calculator. Results are illustrative and depend on your inputs and assumptions (e.g., beta, risk-free rate, market premium, tax rate, capital structure). Small changes can materially affect outputs. (b) Monte Carlo Simulator. Outputs are hypothetical and based on statistical models and assumptions; they do not predict future performance and should not be relied upon for trading decisions. (c) Comparable Companies & Ratios. Peers may be approximate; metrics may vary from GAAP/IFRS presentations; you must verify appropriateness for your use. (d) Financial Statements Viewer. Formatting/normalization may differ from issuer filings; for authoritative information, consult original filings (e.g., 10-K, 10-Q). (e) Government Trades. Public disclosures may be delayed, amended, or incomplete. The Service presents public-source data for transparency; no endorsement or implication of wrongdoing is made.
6. Downloads; Intellectual Property; License
Downloads (including filings, statements, and CSV/XLSX/other exports) are provided for your personal, educational, or internal business use only unless you have a separate written license from Vectivate. You may not sell, sublicense, redistribute, or publicly post exported datasets at scale. All intellectual property rights in the Service and content (excluding third-party content) are owned by Vectivate. Except as expressly permitted in these Terms, you shall not copy, modify, create derivative works of, reverse engineer, or attempt to extract source code of any part of the Service.
7. Accounts; Security; Acceptable Use
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree not to: (i) share paid credentials (L2/L3) outside your organization; (ii) access or use the Service by means of bots, scrapers, spiders, or similar tools without written permission; (iii) overload, disrupt, or interfere with the Service; (iv) attempt to circumvent access controls, rate limits, or subscription tiers; (v) use the Service to violate any law or third-party rights. Vectivate may suspend or terminate access if abuse, fraud, or violations are suspected.
8. Subscriptions; Billing; Refunds
The Service is offered in three levels: Level 1 (free), Level 2, and Level 3. Paid plans are billed on a recurring basis until cancelled. Taxes may apply. Unless otherwise stated, fees are nonrefundable. If you upgrade or downgrade, changes to access may take effect immediately or at the next billing cycle, as described during checkout. Vectivate may change plan features, pricing, and tier availability; any material changes to your plan will be communicated in advance where required by law.
9. Availability; Changes to the Service
The Service may be unavailable from time to time due to maintenance, updates, failures of third-party providers, or events beyond our control. Vectivate may add, modify, or discontinue features (including moving features between tiers) at any time. For beta or experimental modules, functionality may be limited and provided “as-is.”
10. Privacy; Data Handling
Your use of the Service is subject to our Privacy Policy, which describes what data we collect, how we use it, and your choices. Portfolio holdings and transactions are user-generated data; they are not tax forms or official statements. You are solely responsible for the accuracy and legality of the data you input. We use analytics and third-party services that may set cookies or collect device and usage information.
11. Third-Party Services & Links
The Service may link to third-party websites or integrate third-party APIs. Vectivate does not control or assume responsibility for third-party content, availability, or practices. Use of third-party services may be subject to additional terms and policies. Outages or changes by third parties may impact the Service.
12. Regulatory Disclosures; Restricted Jurisdictions
Vectivate is not registered as an investment adviser, broker-dealer, or similar regulated entity. You represent that you are not located in a country subject to embargoes or on any restricted party list and that you will comply with all applicable local laws in using the Service.
13. Indemnification
You agree to defend, indemnify, and hold harmless Vectivate, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use or misuse of the Service; (b) your violation of these Terms; (c) your breach of any representation or warranty; or (d) your violation of any law or third-party right.
14. Governing Law; Dispute Resolution
These Terms are governed by the laws of [Insert Governing Jurisdiction], without regard to conflict of law principles. Any dispute arising out of or relating to the Service or these Terms shall be resolved by binding arbitration on an individual basis, and you waive any right to participate in a class action or class arbitration, to the fullest extent permitted by law. Venue for any permitted court proceedings shall be in the state and federal courts located in [Insert Venue]. The parties agree to a one-year limitation period for bringing claims, where allowed by law.
15. Changes to These Terms
Vectivate may update these Terms from time to time. If we make material changes, we will provide notice (e.g., by email, in-product notice, or posting a revised Terms with a new effective date). Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of the changes.
